CHAMBER SCRAMBLE

Terms of Service
Effective Date: August,1 2026
These Terms of Service ("Terms") govern your access to and use of the Chamber Scramble software platform ("Service"), operated by Chamber Scramble ("we," "us," or "our"). By accessing or using the Service, you ("Customer" or "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Chamber Scramble is a software-as-a-service (SaaS) platform that assists event organizers in managing seating arrangements for networking events. The Service uses an algorithm to suggest seating assignments intended to seat attendees from non-competing industries at the same tables. The Service also provides attendee registration tools, event management dashboards, and optional post-event email summaries.

2. Account Registration and Eligibility

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years of age and authorized to enter into this agreement on behalf of any organization you represent.

3. Subscription Plans and Fees

Day Pass: $149 per event day.
Weekend Pass: $249 per event.
Monthly Plan: $349 per month.

Fees are due at the time of subscription or event registration. All fees are stated in U.S. dollars. We reserve the right to change pricing with 30 days' written notice to active subscribers. Applicable state and local taxes or surcharges may be added to your invoice depending on your jurisdiction.

4. Payment Terms

Payment is due at the time of purchase or at the start of each billing cycle. We accept payment via [accepted payment methods]. You authorize us to charge your payment method on file for all amounts due. If payment fails, access to the Service may be suspended until payment is received.

5. Cancellation Policy

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused days within a billing cycle.

For event-specific purchases (Day Pass or Weekend Pass), cancellations made less than 7 days prior to the event date are subject to a cancellation fee of 25% of the purchase price. Cancellations made more than 7 days before the event are eligible for a full refund.

We reserve the right to cancel or suspend your account for violation of these Terms, with or without notice.

6. Seating Algorithm — Disclaimer of Accuracy

The Chamber Scramble seating algorithm is designed to seat attendees from non-competing industries at the same tables based on the industry classification data provided by you or your attendees. However, the accuracy of seating assignments depends entirely on the completeness and correctness of attendee data entered into the system.

THE SEATING ALGORITHM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT THE ALGORITHM WILL PRODUCE PERFECT OR ERROR-FREE SEATING ARRANGEMENTS IN ALL CIRCUMSTANCES. In the event of a software malfunction, data error, system outage, or any other technical failure, competing businesses may be inadvertently seated together.
CHAMBER SCRAMBLE SHALL NOT BE LIABLE FOR ANY BUSINESS LOSS, REPUTATIONAL HARM, LOST OPPORTUNITIES, DAMAGED RELATIONSHIPS, OR ANY OTHER DAMAGES OF ANY KIND ARISING FROM SEATING ASSIGNMENTS THAT PLACE COMPETING OR OTHERWISE INCOMPATIBLE BUSINESSES AT THE SAME TABLE, WHETHER DUE TO SOFTWARE ERROR, ALGORITHM MALFUNCTION, INCORRECT DATA, OR ANY OTHER CAUSE.

It is the sole responsibility of the event organizer to review seating assignments prior to the event and make any necessary manual adjustments. Chamber Scramble provides manual override tools within the platform for this purpose.

7. Customer Responsibilities

You are solely responsible for: (a) the accuracy and completeness of all attendee data entered into the platform, including industry classifications; (b) reviewing and approving all seating arrangements before your event; (c) using the manual override tools provided to correct any seating conflicts identified; (d) complying with all applicable laws in connection with your use of the Service and your events; and (e) obtaining any necessary consents from your attendees for data collection and email communications.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and storage of attendee data as described in the Privacy Policy. We do not sell attendee data to third parties. You retain ownership of all data you upload or enter into the platform.

Following the conclusion of your scheduled event, full organizer access to create or manage a scramble will be deactivated. For a period of twelve (12) months following your event date, you may continue to access a read-only archive of your event data, including table assignments, attendee lists, and sign-in records, by logging in with your chamber number and email on file. If your account remains inactive for twelve (12) consecutive months following your event date, all associated event data, including attendee and seating records, will be automatically and permanently deleted from our systems. Customers wishing to run a future event after this deletion window has passed will be required to submit a new application through our standard registration process.

9. Intellectual Property

The Chamber Scramble platform, including all software, designs, algorithms, trademarks, and content, is owned by Chamber Scramble and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHAMBER SCRAMBLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO CHAMBER SCRAMBLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise), and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chamber Scramble and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) inaccurate or incomplete attendee data you provide; or (d) your event operations.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting an updated version on our website. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration in West Allis, Wisconsin except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chamber Scramble regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. You may not assign your rights under these Terms without our prior written consent.
